Terms and conditions for the Riverbank Gardens project

The owner of the online store www.renegadetea.com (hereinafter referred to as the Company) is OÜ Renegade Tea Artisans (registry code 14365627), located at Reti tee 11-201, Peetri, 75312, Rae vald, Estonia.

  1. Definitions
    • „Company“ – OÜ Renegade Tea Artisans (registry code 14365627), located at Reti tee 11-201, Peetri, 75312, Rae vald, Estonia.
    • „Customer“ – Legal entity, participating in the Campaign.
    • „Plantation“ – Land plot with the Georgian registry code at 03.37.127, located in village Gumati, Tskaltubo municipality, Georgia.
    • „Garden“ – A 60m2 land area within the Plantation.
    • “Harvest” – Annual harvest from the Garden - 750g of ready-made tea.
    • „Fee“ – a fee that the Customer pays in order to participate in the Campaign
    • „Site“ – website https://www.renegadetea.com
  1. The validity of the contract of sale, product and price information  
    • The conditions of sale apply to purchases of goods and services made via the online store.
    • By accepting these terms the Customer accepts also the terms brought out under each Product. 
    • The prices of products are indicated next to the products. All prices are in Euros.
    • The Company reserves the right to change the used prices at any time. If a Customer has placed an order in the online store and has paid for it, then the Service Provider is obligated to deliver the products to the Customer with the prices valid at the moment the order was placed.  

  2. „Riverbank Gardens” Campaign
    • The Company has the right to purchase the Plantation through its wholly owned subsidiary and is inviting interested parties to participate in the development of the Plantation through acquiring a notional part of the Plantation – a 60 m2
    • In order to participate in the Campaign, the Customer will pay a one-time Fee of 850 EUR.
    • The Company will deliver the following services and goods in the framework of this Campaign:
      • Install a sign with the name of the Customer on the territory of the Garden – signs will be installed as soon as the signs do not interfere with the rehabilitation and weeding process, but not later than 36 months after the payment of the Fee.
      • Every year the Customer will receive the annual Harvest - 750g of tea (5x150g), starting from 2025. The tea is included at no extra cost. The Customer will cover the shipping costs of sending the Harvest to the address chosen by the Customer.
      • The Customer can choose the specific teas (from the list of available teas offered by Renegade Tea Estate for upcoming season) each spring, before the 15th of May.
      • Each year, the Company will organize a 3-day teamaking workshop that is available only for Garden owners. Each year there are 6 available places, which will be filled based on first-come basis. Customers can participate in multiple workshops. Workshop will be offered for free, participants will have to cover their other travel expenses (airline tickets, accommodation, food).
      • Company will provide the before-mentioned services as defined in p. 3 indefinitely.  
    • In case less than 20 Gardens are purchased by 10. November 2024 the Campaign as a whole will be rescinded and all paid fees fully refunded within 5 working days.
  1. Placing an order
    • In order to participate in the Campaign, the Customer selects the desired available Garden on the Site and adds it to the shopping basket. The Customer must fill in all of the required fields (first name, last name, e-mail, phone number, delivery address, postal code) to complete the order. 
    • It is possible to pay for purchases with Paypal or a credit card or via a bank link.
    • The contract enters into force when the payable amount is transferred to the bank account of the Company.  
    • Customer agrees to provide current, complete and accurate information for all purchases made via the Site.

  2. Right of withdrawal
    • After receiving the order, the Customer has the right to withdraw from the contract made with the Company within 14 calendar days.
    • The right of withdrawal does not apply if the Customer is a corporation/juridical person.
    • In order to withdraw from the Contract, the Customer must write to the e-mail address farmers@renegadetea.com within 14 calendar days of paying the Fee.
    • When the Customer has exercised its right to withdraw from the Contract, the Company shall return the Fee to the Customer within 14 calendar days after receiving such notification. The money is returned to the same account, which was used for paying for the Fee.

  3. Shipment
    • The shipping cost will be paid separately each year when placing the order for the delivery of the tea.
    • The Customer bears that the shipping cost is provided each shipping year according to the Company’s price list and regular shipping partners.
    • Company retains the right to change the shipping partners at any time for any reason. 

  4. Direct Marketing and processing of personal data
    • The Company only uses the personal data entered by the Customer (including name, phone number, address, e-mail and bank details) for processing the order, and purposes strictly needed to operate the Campaign.
    • The Company is the controller of the personal data of this online store.
    • The Company forwards personal data to the transport service providers in order to deliver the goods.
    • The Company forwards personal data to relevant banking partners in order to process the payment.  
    • The Company forwards personal data to the accounting company for accounting purposes.
    • The Company sends newsletters and offers to the Customer's e-mail address only if the Customer has expressed their wish to receive them by entering their e-mail address on the website and indicating their desire to receive direct mail.
    • The Customer is able to opt out of offers and newsletters sent to their e-mail address at any time by letting the Company know via e-mail at farmers@renegadetea.com or by following the instructions in an e-mail containing an offer.
    • Customer’s submission of personal information through the online store is governed by the Privacy Policy of OÜ Renegade Tea Artisans and its affiliated companies. The Privacy Policy can be found on the webpage at https://www.renegadetea.com/policies/privacy-policy

  5. Disclaimer Of Liability
    • The Company shall not be responsible for and DISCLAIMS all liability for any loss, liability, damage (whether direct, indirect or consequential), personal injury or expense of any nature whatsoever which may be suffered by you or any third party (including your company), as a result of or which may be attributable, directly or indirectly, to your access and use of the website, any information contained on the website, your or your company's personal information or material and information transmitted over our system. In PARTICULAR, neither the Company nor any third party or data or content provider shall be liable in any way to you or to any other person, firm or corporation whatsoever for any loss, liability, damage (whether direct or consequential), personal injury or expense of any nature whatsoever arising from any delays, inaccuracies, errors in, or omission of any share price information or the transmission thereof, or for any actions taken in reliance thereon or occasioned thereby or by reason of non-performance or interruption, or termination thereof.

  6. Miscellaneous Legal Provisions
    • The Company may discontinue the Campaign at any time and for any reason, without notice. 
    • Company may change the contents, operation, or any and all other features of the Site at any time for any reason, without notice. Company may discontinue or restrict your use of the Site at any time for any reason, without notice. 
    • Nothing contained in this Agreement is in derogation of the Company's right to comply with governmental, court, and law enforcement requests or requirements relating to your use of this Site or information provided to or gathered by the Company with respect to such use.

  7. Settlement of disputes
    • All complaints made by the Customer regarding the Company or Campaign must be sent to farmers@renegadetea.com.
    • If the Customer and the Company are not able to settle the dispute by agreement, the Customer may contact the relevant consumer protection agencies.  

  8. Governing Law
    • Those terms and conditions are governed by the law of the Republic of Estonia.
